Terms & Conditions
Please read these Terms & Conditions carefully before using the Briksio platform. These Terms form a legally binding agreement between you (the "Seller" or "User") and Briksio, Inc. governing your access to and use of all Briksio products and services.
These Terms incorporate by reference our Privacy Policy, which describes how we handle your data, and our Acceptable Use Policy. Together, these documents constitute the entire agreement between you and Briksio.
1. Acceptance of Terms
By accessing or using the Briksio platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
If you do not agree with any part of these Terms, you must not access or use the Service. Briksio reserves the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or an in-platform banner. Continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.
2. Account Registration
To use Briksio, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at security@briksio.com if you suspect unauthorized access to your account.
You may not create more than one account per individual unless explicitly permitted by your subscription plan. Accounts are non-transferable. Briksio reserves the right to refuse registration or suspend accounts that violate these Terms or our Acceptable Use Policy.
You must be at least 18 years old to create an account. If you are registering on behalf of a business, you warrant that the business is validly incorporated and authorized to conduct commerce in its jurisdiction.
3. Platform Services
Briksio provides a multi-tenant SaaS platform designed for professional LEGO® parts and set sellers. Core features include inventory management, multi-channel marketplace synchronization, the Briksio Marketplace, the Briksio Exchange, fulfillment tools, and financial analytics.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, provided we give at least 30 days' notice for the removal of core features.
Access to certain features depends on your active subscription plan. Downgrading or cancelling your plan may result in reduced access to features and data. Briksio is not responsible for data loss resulting from voluntary plan changes.
4. Fees and Billing
Briksio charges subscription fees on a monthly or annual basis, depending on the plan you select at signup. All fees are stated in US dollars and are exclusive of applicable taxes. By providing a payment method, you authorize Briksio to charge all fees when due.
Subscription fees are billed in advance at the start of each billing cycle. If a payment fails, we will retry the charge for up to 7 days. During this grace period, your account remains active. After 7 days, access may be restricted until payment is resolved.
Refunds are not issued for partial months of service. If you cancel your subscription, you will retain access until the end of your current paid billing period. Annual plan subscribers who cancel within 14 days of initial purchase may request a pro-rated refund for unused months.
Briksio may change its pricing at any time. We will provide at least 30 days' advance notice of price increases to existing subscribers. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
5. Acceptable Use
You agree to use Briksio only for lawful purposes and in a manner that does not infringe the rights of others. You must not use the Service to list counterfeit goods, reproduce copyrighted LEGO® designs without authorization, engage in market manipulation, or conduct fraudulent transactions.
You may not attempt to probe, scan, or test the vulnerability of the Briksio platform, circumvent authentication mechanisms, access data that does not belong to you, or interfere with the Service's operation in any way. Automated scraping or bulk data extraction without written approval is strictly prohibited.
Briksio is not affiliated with, endorsed by, or sponsored by the LEGO Group. Use of LEGO® and related trademarks on the platform is for identification and compatibility purposes only and does not imply any endorsement.
6. Intellectual Property
The Briksio platform, including its design, software, algorithms, logos, and content, is the exclusive property of Briksio, Inc. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use Briksio's trademarks, service marks, or trade dress.
You retain ownership of all data and content you upload to the platform, including inventory records, product descriptions, and images ("User Content"). By uploading User Content, you grant Briksio a non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely to the extent necessary to provide the Service.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party intellectual property rights.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Briksio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost inventory value, lost sales, or data loss, arising from your use of or inability to use the Service.
Briksio's total cumulative liability to you for any claim arising under or related to these Terms shall not exceed the greater of (a) the total fees you paid to Briksio in the 3 months preceding the claim, or (b) USD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
Briksio does not warrant that the Service will be error-free, that defects will be corrected, or that the platform or the servers that make it available are free of viruses or other harmful components. Marketplace sync accuracy depends in part on third-party APIs outside of Briksio's control.
9. Termination
You may cancel your Briksio subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. After cancellation, your data will be retained for 90 days and then permanently deleted, as described in our Privacy Policy.
Briksio may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, pose a security risk to the platform, or fail to pay fees when due. Upon termination, your right to access the Service ceases immediately.
Provisions of these Terms that by their nature should survive termination shall survive, including sections on Intellectual Property, Limitation of Liability, Disclaimers, and Governing Law.
10. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or your use of the Service shall be resolved exclusively through binding arbitration administered by JAMS under its Streamlined Arbitration Rules.
You agree to waive the right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
